Purpose and Background
Amnesty International is seeking a highly experienced consultant to undertake an external review of its global governance framework.
The primary objectives of the review are to:
- Analyse the current Amnesty movement governance architecture and functions to identify limitations and weaknesses
- Propose technical changes to the current governance framework – entities, policies and process - to strengthen unity, cohesion and collaboration across the Movement, within and between governance bodies and with the International Secretariat, and to enhance Amnesty International's effectiveness and impact, responsiveness and overall efficiency
The current review is a standalone piece of work but will utilise previous internal and external reviews.
Background
The review will be overseen by an internal ‘Governance Review Group' comprising volunteer representatives from across the Amnesty global Movement including the International Board, and employees of the International Secretariat.
A wider ‘Reference Panel' of volunteer Movement representatives will provide a consultative body for the Review Group.
The external reviewer will work closely with the Global Assembly Chair, the Chair and members of the Governance Review Group, and potentially members of the Reference Panel.
Objectives and deliverables
The deliverables of this consultancy will be:
- Inception report for the governance review, outlining methodology, timeline, and key milestones (28 February 2025).
- Assessment Report comprehensively outlining issues and areas for improvement through technical changes to the governance framework (31 March 2025).
- Detailed Recommendations Report to address issues identified in Assessment Report including a clear and actionable implementation plan. (15 June 2025).
Consultancy Duration
This consultancy is expected to run from January 2025 to July 2025, with flexibility in working hours to accommodate the global nature of the organization. Most work will be conducted remotely.

Consultancy Fee: Following a review of the consultancy ToR attached, and as part of the competitive tender process, prospective consultants will be expected to provide a detailed breakdown of the fees you would charged for this consultancy assignment.
Essential Requirements
- Proven experience in governance advisory roles, preferably within the NGO sector.
- Demonstrated experience conducting governance reviews, preferably with international organisations.
- Strong analytical, communication, and stakeholder engagement skills.
- Ability to work independently while coordinating effectively with diverse teams.
- Fluency in English; knowledge of French and Spanish is desirable.
